Acceptance of Terms

By accessing or using the services provided by the noplace app ("App") created by Islands, XYZ ("us", "we", or "our"), located at 2261 Market Street #4635 San Francisco, CA 94114, you agree to comply with and be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the App.

Description of Service

The App is a social networking platform that allows users to post information about themselves in a fully customizable manner, such as who they are, what they're up to (status updates), what they're reading or watching, and who their top friends are.

Eligibility

The App is only intended for anyone over the age of 13. If you are under the age of 18, you must have your parent’s or legal guardian’s permission to use the Services. Please have them read this Agreement with you. If we have actual knowledge that you are under the age of 13 (or the minimum age at which a person may use the Services in your state, province, or country without parental consent, if greater), we will cease providing Services to you and delete your account and your data.

User Registration

To use certain features of the App, you must register for an account. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate.

User Content

You own the content that you post on the App, but you grant us a royalty-free license to utilize the content with no restrictions.

Third-party Links and Sharing

The App allows you to post a screenshot of your profile to Instagram, TikTok, YouTube, Twitter, or send via iMessage directly from our app if you are signed into these other apps on your device.

In-App Purchases

There are currently no plans to add in-app purchases. Any future updates will be communicated through the App.

Termination

A user can be terminated if they violate the terms of service or post content that fits the following subjects: Sexual Content, Harassment & Bullying, Threats, Violence & Harm, Harmful False or Deceptive Information, Illegal or Regulated Activities, Hateful Content, Terrorism, and Violent Extremism, or for impersonating or harassing moderators or the noplace team.

Liability Limitation

To the maximum extent permitted by law, we and our managing members, shareholders, employees, affiliates, licensors, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, punitive, or multiple damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use the Services; (b) the conduct or content of other users or third parties on or through the Services; or (c) unauthorized access, use, or alteration of your content, even if we have been advised of the possibility of such damages. In no event will our aggregate liability for all claims relating to the Services exceed the greater of $100 USD or the amount you paid us in the 12 months preceding the date of the activity giving rise to the claim.

Compliance with Laws

You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

Arbitration

Any disputes arising out of or relating to these Terms or the use of the App will be resolved through mandatory binding arbitration.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes and clarifications will take effect immediately upon their posting on the App. If we make material changes to this policy, we will notify you through the App that it has been updated.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident in.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.
